the SPANISH CONNECTION - Service Agreement

1. The Spanish Connection will provide the services detailed in Job Estimate or Contract.

2. a. Translation work: the Spanish Connection will require an advance payment of 50% of the amount quoted in the Job Estimate priorto the commencement of the project (new clients) and the Client's signature on the Services Agreement. The final balance due will be invoiced upon completion and delivery of the project. Payment for services is due 30 days from date of invoice. Late payments will be subject to a 15% monthly service charge. Estimates are valid for a period of 60 days. Additional charges may apply for any changes or additions made to the original text, format or typesetting specifications after the commencement of this project. Client agrees to be responsible for all costs of Collection for past-due accounts, including reasonable attorney's fees.

2.b. Interpretation work and Hispanic Outreach Services: Will be provided as needed or on a Contract basis. A job estimate prior to the commencement of the project will be provided and advance payment of 50% of the total amount quoted will be required (new clients) as well as the Client's signature on the Services Agreement. Payment for services is due 30 days from date of invoice. Late payments will be subject to a 15% monthly service charge. Estimates are valid for a period of 60 days. Client agrees to be responsible for all costs of collection for past-due accounts, including reasonable attorney's fees.

3. This document represents the entire agreement made by and between the Spanish Connection and Client. Any changes of this Agreement concerning fees, payment or performance schedules, or any reduction or increase in services, must be agreed to in writing by both parties. Client agrees to be responsible for all costs of Collection for past-due accounts, including reasonable attorney's fees.

4. Client will be responsible for any expenses that are not a normal part of efficient work procedure, as long as such expenses are approved in advance by Client and are not caused by the Spanish Connection. the Spanish Connection fee includes normal administration expenses: project management, scheduling, reference services, and general overhead expenses.

5. the Spanish Connection agrees to maintain strict confidentiality of all knowledge acquired in the course of service under this Agreement.

6. Client agrees to indemnify the Spanish Connection and hold him or her harmless from and against any and all losses, claims, damages, expenses or liabilities which the Spanish Connection may incur based on information, representations, reports, data or product specifications furnished, prepared or approved by Client for use by the Spanish Connection in the work performed under this Agreement.

7. (a) In performing his/her obligations hereunder, the Spanish Connection commits itself to the utmost care in translating Client's documents.

7. (b) Client understands that translation/interpretation is an art as much as a science, and that there is often more than one accurate way to translate/interpret a word, phrase or concept. Sometimes the fuller context is not apparent in the original work. the Spanish Connection agrees to identify any sources of ambiguity or potential confusion in the original text so that Client will be able to make further clarification, if desired. Nevertheless, this Agreement is based on Client's representation that his/her documents are clear and unambiguous.

8. Upon receipt of the document's translation from the Spanish Connection, Client agrees to promptly review the translation and within 10 days notify the Spanish Connection of any readily apparent errors. This additional review will provide further protection to the Client and give the Spanish Connection the opportunity to make such necessary corrections at no extra cost to Client.

9. the Spanish Connection declines all responsibility for changes made in the translation by any other person.
